Boardroom Battles: Company, Insolvency and Internal Corporate Disputes - Birmingham Workshop - 17 November
Join barristers from 3PB’s Commercial and Insolvency teams for a half-day practical, interactive workshop in Birmingham, examining the legal and practical challenges arising from shareholder disputes, corporate breakdowns and insolvency.
Chaired by Cheryl Jones, our speakers and workshop facilitators will include Charles Irvine, Max Islam, Zhen Ye and Aaron Luxton.
The workshop will start with focused presentations on key legal principles and authorities, followed by a practical case study and problem questions, which our attendees will consider, working in smaller groups, under the guidance of our barristers.
Delegates will examine the available remedies, assess litigation risks and develop strategic approaches before reconvening for plenary discussions to compare arguments and explore alternative outcomes.

12.00 – Registration and lunch
Part 1 – Shareholder Disputes: Unfair Prejudice v Just and Equitable Winding Up
Part 1 will examine the remedies available when relationships between shareholders break down, including unfair prejudice petitions under section 994 of the Companies Act 2006 and petitions for winding up on just and equitable grounds.
Delegates will look at the competing legal and commercial considerations, the evidential requirements and the strategic choice between pursuing a shareholder buyout and seeking to wind up the company.
Part 2 – Corporate Insolvency: IP Appointments & Claims Against Directors
Part 2 will explore the practical and legal considerations surrounding the appointment of insolvency practitioners and the claims that may arise against directors following corporate insolvency.
Delegates will examine the available insolvency procedures, the role and powers of officeholders, and potential claims arising from breaches of directors’ duties, misfeasance and transactions undertaken before insolvency.
